Abstract
This study has been commissioned by the Competition Directorate- General of the European Commission (from hereon DG Competition) to develop “a detailed methodological approach for the ex-post review of European Commission decisions in the field of merger control, namely for assessing the impact of the Commission decision on market developments” and to apply “the afore-mentioned methodological approach to a particular case”: the merger between the power cable producers Pirelli and BICC1. Abstract
The Directorate-General Justice in the European Commission is working on a follow-up to the 2012 Communication of the Commission on “A new approach to business failure and insolvency” and the 2013 public consultation on the same topic. Against this background a study has been commissioned to provide information on restructuring mechanisms already available in all Member States, their main features, effective use, rate of success, cost to the debtor and length. INSOL Europe, the Pan-European association of insolvency professionals, has gathered from its membership a team of experts covering all 28 Member States of the European Union, to provide a comprehensive but condensed report on the restructuring mechanisms currently available in the Member States jurisdictions. Where available, information on the actual application and the rate of success has been provided as well. The study reflects the legal situation in the Member States as of October 2013. The study provides the facts collected across the 28 Member States in an Annex and the report provides an analysis of this data, together with recommendations of the experts for an early preventive restructuring mechanism. The information and views set out in this study are those of the authors and do not necessarily reflect the official opinion of the Commission. Abstract
On 8 October 2001, more than 31 years after negotiations had begun, the Council of the European Communities adopted Council Regulation No 2157/2001 ('Regulation 2157/2001') on the statute for a European company and the related Council Directive 2001/86/EC supplementing the statute for a European company with regard to employee involvement required in the case of the creation of a European Company. The European Company, its Latin name 'Societas Europaea' ('SE') is being used in Regulation 2157/2001, will be subject to Community law directly applicable in all EU Member States as from 8 October 2004. The Council Directive will have to be implemented in national law in all Member States. [Author vide copyright]
