Title: The systemic dimension of hedge fund illiquidity and prime brokerage |
Abstract We analyse the potentially vulnerable and systemically relevant financial intermediation chain established by hedge funds and prime brokers. Our dataset covers the 306 largest global hedge funds and their prime brokers over the period July 2001 to December 2011. The study illustrates that hedge funds and prime brokers act as complementary trading partners in normal times. However, we observe that this form of financial intermediation may be severely impaired in times of market distress. This can be explained by the hoarding of liquid securities by prime brokers who are eager to avert runs by their clients.[Author vide Copyright] |

Title: Monitoring the european CDS market through networks : implications for contagion risks |
Abstract Based on a unique data set referencing exposures on single name credit default swaps (CDS) on European reference entities, we study the structure and the topology of the European CDS market and its evolution from 2008 to 2012, resorting to network analysis. The structural features revealed show bilateral CDS exposures describing growing scale-free networks whose highly interconnected hubs constitute both a strength and weakness for the stability of the system. The potential super spreaders of financial contagion, identified as the most interconnected participants, consist mostly of banks. For some of them net notional exposures may be particularly large relative to their total common equity. Our findings also point to the importance of some non-dealer/non-bank participants belonging to the shadow banking system.[Author vide Copyright] |

Title: Review on the application of accounting requirements for business combinations in IFRS financial statements |
Abstract This report evaluates the consistency of application of key requirements of IFRS 3 - Business Combina-tions and how compliant and entity-specific IFRS 3 disclosures are in the 2012 annual IFRS financial statements of a sample of 56 issuers in the European Union (EU). It also includes other IFRS 3 issues identified as part of the enforcement experience of European national enforcers (European Enforcers) that participate in the European Enforcers Coordination Sessions (EECS).Transparency of financial information is of paramount importance for investment decisions. Considering the significant impact that business combinations usually have on financial statements, ESMA decided to anticipate the upturn in merger and acquisitions by conducting a limited review of the application of the IFRS 3 requirements and drawing conclusions which should be further considered by issuers in future financial statements. In addition, taking into account that the International Accounting Standards Board (IASB) is performing a Post Implementation Review (PIR) in this area, ESMA believes that this report will assist the IASB in identifying areas where IFRS 3 leads to divergence in practice or lack of comparability and where, therefore, additional clarification or guidance would be helpful in achieving the objectives of the standard.Overall, the results of the review show that some good business combination disclosures were provided. However, ESMA identified certain areas where improvements are necessary. The items below emerged as being the most significant, but the report also provides ESMA's views on other issues such as: mandatory tender offers (MTOs), the definition of a business and adjustments to fair value amounts during the meas-urement period.[Author vide Copyright] |

Abstract The European Securities and Markets Authority (ESMA) has published an update to its statement on practices governed by the Takeover Bid Directive (TBD), focused on shareholder cooperation issues relating to acting in concert and the appointment of board members.The update concerns a change to the Croatian creep-in threshold and secondary threshold in Appendix B. The statement contains a White List of activities that shareholders can cooperate on without the presumption of acting in concert. It also contains information on how shareholders may cooperate in order to secure board member appointments by setting out factors that national authorities may take into account when considering whether shareholders are acting in concert.The statement is in response to a request by the European Commission for clarity on these issues, following its 2012 report on the application of the TBD. It is based on information collected about the TBDs application and common practices across the European Economic Area (EEA). Abstract Changes are being made to a key piece of European law whose purpose is to protect you when you buy or invest in financial products. The Markets in Financial Instruments Directive (MiFID) is being updated and strengthened in some important areas and will be known as MiFID II.MiFID is central to the regulation of financial markets in the European Union. It regulates the provision of investment services in financial instruments (such as shares, bonds, derivatives and various structured products) by banks and investment firms, and the operation of traditional stock exchanges and alternative trading venues.
